Dear Retailer, 20 October 2017

 

 

Your agreement to the terms below will enable ConQuest entertainment a.s. to fulfil your purchase orders (“PO”s) prior to the specified Street Date as described below. Should you prefer not to agree to the terms of this Letter, your POs will be fulfilled on the stated Street Date of the relevant release, which will result in a delayed shipment to you.

 

The dates and times of the following game or games (the “Game”) official release are set out below:

Please note: Street Date obligations are only applicable for the Game(s) you order.

In order to maximize display and marketing opportunities, and to ensure fair treatment of all our distributors and customers, we require you to comply with the respective Street Date for each Game. By signing and returning the Letter to us you agree to the following terms for all deliveries of each Game in advance of its Street Date:

   You agree not to stock packs of the Game and the Console bundle for sale in store before the Street Date

   You agree not to sell or supply the Game and the Console bundle to third parties (including consumers or business partners) before the Street Date

   You will endorse store level compliance of the terms of this Letter by distributing a store/department manager level communication one week prior to the Street Date

   You will take all steps to ensure that any mail or online orders for or including the Game and the Console bundle will not arrive with consumers before the Street Date

    If you are shipping the Game and the Console bundle by public carrier, you will use only carriers which provide proof of delivery, and

    You agree to take all steps required by ConQuest entertainment a.s and/or Nintendo to remedy the breach of Street Date and provide any information connected with such a breach upon request.

You accept that if you do not comply with the terms of this Letter or break the Street Date in any other way, ConQuest entertainment a.s. and/or Nintendo will suffer loss and damage. You also agree and acknowledge that ConQuest entertainment a.s. and/or Nintendo shall, without limiting any other rights it may have at law, have the following rights from the date of your breach of the Street Date:

   To refuse to re-stock you with the Game and the Console bundle or any other products

   To refuse to supply you with products in advance of any future Street Dates

   To be indemnified by you for wasted or lost marketing costs and legal enforcement expenses and

   To be released from paying you any marketing discounts and rebates for the Game owed under any distribution agreement that you have entered into with ConQuest entertainment a.s. and/or Nintendo.

Failure to sign and return this Letter will result in a delayed shipment of your day one order of the Game and the Console bundle. The terms of this Letter amend and supplement the terms of any distribution or other agreement signed with ConQuest entertainment a.s. . To the extent that there is an inconsistency between the terms the Letter shall prevail.
